("Layerpath," "we," "us," or "our"), including our website at https://www.layerpath.com, our Studio product, Path AI product, and any related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Services. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

1. ELIGIBILITY

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2. ACCOUNT REGISTRATION

To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at info@layerpath.com of any unauthorized use of your account.

3. DESCRIPTION OF SERVICES

Layerpath provides software tools for B2B teams, including:

• Studio: A platform for creating interactive product demos, videos, and guides.

• Path AI: An AI-powered demo qualification agent that engages website visitors, answers product questions, and routes qualified buyers.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

4. ACCEPTABLE USE

You agree not to use the Services to:

• Violate any applicable law or regulation

• Infringe the intellectual property rights of others

• Transmit any malicious code, viruses, or harmful content

• Interfere with or disrupt the integrity or performance of the Services

• Attempt to gain unauthorized access to the Services or related systems

• Use the Services for any unlawful, fraudulent, or deceptive purpose

• Scrape, crawl, or use automated means to access the Services without our written consent

• Resell or redistribute the Services without authorization

We reserve the right to suspend or terminate your access to the Services if you violate these Terms.

5. INTELLECTUAL PROPERTY

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and trademarks, are owned by Layerpath or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our prior written consent.

Content you create using the Services (such as interactive demos, guides, and recordings) remains your property. By using the Services, you grant Layerpath a limited license to host, store, and display your content solely for the purpose of providing the Services to you.

6. SUBSCRIPTIONS AND PAYMENT

Certain features of the Services require a paid subscription. By subscribing, you agree to pay the applicable fees as described on our pricing page. All fees are non-refundable except as required by law or as expressly stated in these Terms.

We may change our fees at any time with at least 30 days' notice. Continued use of the Services after a fee change constitutes acceptance of the new fees.

Payment is processed by our third-party payment providers, Stripe and Chargebee. Your use of these payment services is subject to their respective terms and privacy policies.

7. FREE TRIALS AND BETA FEATURES

We may offer free trials or beta access to certain features. These are provided "as is" without warranty. We may modify or discontinue free trials or beta features at any time without liability.

8. SMS/TEXT MESSAGING

If you provide your phone number through our website or Services (for example, when requesting a product demo), you consent to receive transactional SMS messages from Layerpath related to demo scheduling and access. These messages are not marketing or promotional in nature.

• Message frequency varies depending on your interactions with the Services.

• Message and data rates may apply depending on your mobile carrier plan.

• Opt-out: You may opt out of SMS messages at any time by replying STOP to any message. After opting out, you will receive a confirmation message and no further SMS messages will be sent.

• Help: Reply HELP to any message for assistance, or contact us at info@layerpath.com or 415-463-3366.

• No mobile data sharing: Your mobile phone number and SMS opt-in data will not be shared with or sold to third parties or affiliates for marketing or promotional purposes.

9. THIRD-PARTY SERVICES

The Services may integrate with or contain links to third-party services (such as CRM platforms, calendar tools, and analytics providers). We are not responsible for the content, terms, or practices of third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

10. DISCLAIMERS

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not guarantee the accuracy, completeness, or usefulness of any information provided through the Services, including responses generated by AI features.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAYERPATH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO LAYERPATH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. INDEMNIFICATION

You agree to indemnify and hold harmless Layerpath and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

13. TERMINATION

Either party may terminate these Terms at any time. You may terminate by discontinuing use of the Services and closing your account. We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice.

Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

14. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Austin, Texas.

15. CHANGES TO THESE TERMS

We may update these Terms from time to time. The updated version will be indicated by an updated "Last updated" date. If we make material changes, we may notify you by posting a notice on our website or by sending you a notification. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.
